1. Service Description

SchoolHelm provides a cloud-based school management platform that includes, depending on your subscription plan: school ERP modules (admissions, attendance, fee management, exam management, etc.), school website with custom domain, branded mobile application for parents and staff, business email service, and AI-powered tools for content generation (lesson plans, report cards, question papers, etc.).

2. Account & Subscription

To use the Service, the school must create an account and select a subscription plan. The school administrator is responsible for maintaining the confidentiality of login credentials and for all activity under the school's account. Subscription plans, features, and pricing are as listed on our pricing page and may be updated from time to time with prior notice.

3. Payment Terms

• Billing :Subscriptions are billed per student per month, either monthly or annually as selected
• Annual plans : Billed upfront for 12 months at a discounted rate
• Monthly plans : Billed on the 1st of each month
• Taxes : All prices are exclusive of applicable GST (currently 18%) unless stated otherwise
• Payment methods : UPI, bank transfer, credit/debit card, or cheque
• Late payment : If payment is overdue by more than 15 days, we may temporarily suspend access. Data will be retained for 90 days before deletion

4. Data Ownership

The school retains full ownership of its data. This includes all student records, staff data, financial records, attendance data, exam data, and any content uploaded to the platform. SchoolHelm does not claim ownership of school data. Upon termination, schools may request a complete data export.

5. Acceptable Use

You agree to use the Service only for lawful purposes related to school management. You shall not:

• Use the Service for any purpose other than educational institution management
• Share login credentials with unauthorized persons
• Attempt to reverse-engineer, decompile, or extract source code
• Upload malicious code, spam, or harmful content
• Use the Service to violate any applicable law or regulation
• Sublicense, resell, or redistribute the Service without written permission

6. AI-Generated Content

SchoolHelm provides AI-powered tools that generate content (lesson plans, report cards, question papers, notices, etc.). This content is generated as suggestions and drafts. The school is responsible for reviewing, editing, and approving all AI-generated content before use. SchoolHelm does not guarantee the accuracy, completeness, or appropriateness of AI-generated content.

7. School Website & Mobile App

For Professional and Enterprise plans, SchoolHelm provides a school website and branded mobile app. The school is responsible for the content published on its website and app. SchoolHelm reserves the right to remove content that violates these Terms or applicable laws. Domain names and app store listings are managed by SchoolHelm on behalf of the school.

7. School Website & Mobile App

We aim for 99.9% uptime for the Service. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by factors beyond our control, including internet connectivity issues, third-party service outages, or force majeure events.

9. Limitation of Liability

To the maximum extent permitted by law, SchoolHelm's total liability for any claims arising from or related to the Service shall not exceed the total amount paid by the school in the 12 months preceding the claim. SchoolHelm shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

10. Termination

• By School :You may cancel your subscription at any time by contacting us. Annual subscriptions are subject to the refund policy
• By SchoolHelm : We may terminate or suspend access for violation of these Terms, non-payment, or illegal activitye
• Data after termination : School data is retained for 90 days post-termination for export, then permanently deleted

11. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email and in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.

12. Intellectual Property

The SchoolHelm platform, including its software, design, features, documentation, and branding, is the intellectual property of CodexCafe IT Solutions Pvt Ltd. Schools are granted a non-exclusive, non-transferable license to use the Service during their active subscription.

13. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Ranchi, Jharkhand. The language of arbitration shall be English.
